The short version. Be 13 or older (or have a parent linked). Don’t do illegal stuff. Don’t harass people. Don’t post adult content, hate speech, or anything that hurts kids. We can suspend accounts that break the rules. You own what you post. We just need a license to display it for you.

1. Acceptance and eligibility

These Terms of Use (“Terms”) form a binding contract between you and Helm Social, Inc. (“Helm,” “we,” or “us”) and govern your use of the Service.

You may use Helm only if you can form a binding contract with Helm under applicable law.

By creating an account you represent that all information you provide is accurate and that you meet the eligibility requirements for the account type you select.

2. Your account

2.1 Registration

You must provide accurate information and keep it current. Helm requires two factor authentication on every account. You agree to keep your second factor secure.

2.2 Security

You are responsible for all activity under your account. Notify us at security@helmsocial.app immediately if you suspect unauthorized use.

2.3 One person, one account

You may not create multiple accounts to evade a suspension, harass others, or game the gamification system. Brands and Businesses may register multiple verified entity accounts.

2.4 Verified badges

Verified status is available only to accounts that complete identity or entity verification and that have two factor authentication enabled. We may revoke a badge if the conditions of issuance are no longer met.

3. Your content and license to Helm

3.1 You own your content

You retain all ownership rights in the content you post on Helm. You do not transfer ownership to us.

3.2 The license you give us

To run the Service for you, you grant Helm a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt (only as needed to format your content for display), distribute, and publicly display the content you post, solely for the purpose of operating and improving the Service, including cross-platform syndication you explicitly authorize. This license ends when you delete your content or your account, except where prior use was already shared with other users or required by law to retain.

3.3 Content we never use for AI training

Helm does not use your posts, messages, photos, or audio to train artificial intelligence models, and does not license your content to third parties for AI training.

3.4 Your representations about your content

You represent and warrant that you own or have all rights to the content you post, that it does not infringe any third party rights, that it complies with these Terms and our Community Guidelines, and that it complies with all applicable laws.

6. Intellectual property and DMCA

Helm, our logos, mascots, and product design are protected by intellectual property laws. You may not use any of them without our written permission.

If you believe your copyright has been infringed by content on Helm, send a notice that complies with the Digital Millennium Copyright Act to:

We will respond to valid DMCA notices and may remove infringing content and terminate repeat infringers.

7. Connected platforms

Helm lets you connect accounts on third party platforms (such as Instagram, TikTok, Facebook, YouTube, X, Snapchat, LinkedIn) so you can cross post or sync content. When you connect a platform you authorize Helm to act on your behalf on that platform within the scope you grant. Your use of those platforms remains subject to their own terms and policies. Helm is not responsible for their actions or policies. You can disconnect a platform from Helm at any time, and we will stop accessing it for you within 24 hours.

8. Term, suspension, and termination

These Terms apply for as long as you use the Service. You may delete your account at any time. We may suspend or terminate your access if you violate these Terms or our Community Guidelines, if doing so is necessary to comply with law, or if your account has been inactive for an extended period.

If we terminate your account for cause we will explain the reason where permitted by law. You may appeal at appeals@helmsocial.app.

9. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Helm disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, secure, or error free. Your use of the Service is at your sole risk.

10. Limitation of liability

To the maximum extent permitted by law, in no event will Helm or its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or in connection with your use of the Service.

Our total liability for any claim arising from these Terms or your use of the Service will not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amount you paid Helm in the twelve months before the claim arose.

11. Indemnification

You agree to defend, indemnify, and hold harmless Helm and its affiliates from and against any claim, liability, or expense (including reasonable attorneys’ fees) arising out of your use of the Service, your content, or your violation of these Terms.

12. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

12.1 Informal resolution first

Before filing any formal claim, you agree to contact us at legal@helmsocial.app and try to resolve the dispute informally for at least 60 days.

12.2 Binding arbitration

If informal resolution fails, any dispute (other than disputes for injunctive relief or intellectual property claims) will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be held in Wilmington, Delaware, or by video at your option.

12.3 Class action waiver

You and Helm each agree to bring claims only in your or our individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

12.4 Opt out

You may opt out of arbitration and the class action waiver by sending a written notice to legal@helmsocial.app within 30 days of first accepting these Terms. Opt out notices must include your name, account email, and a clear statement that you are opting out.

13. Changes to these terms

We may update these Terms from time to time. For material changes we will notify you at least 30 days before they take effect. Continued use of the Service after the effective date means you accept the updated Terms.
